Terms and Conditions
FRCA Experts
Effective Date: October 2026
Welcome to FRCA Experts. These Terms and Conditions apply to the use of this website and to professional services provided by FRCA Experts, unless otherwise agreed upon in writing with a client. By using our services, you agree to the terms outlined below.
1. Professional Services
FRCA Experts provides professional translation, localization, editing, reviewing, proofreading, linguistic quality assurance, and related language services primarily to businesses and professional clients.
The specific scope, language pair, deliverables, deadlines, rates, and other project requirements are established through the applicable quote, purchase order, service agreement, email correspondence, or other written agreement with the client.
Clients are responsible for providing accurate, complete, and lawful source materials and for communicating any specific terminology, style, technical, confidentiality, or regulatory requirements relevant to the project.
FRCA Experts reserves the right to decline projects that fall outside its areas of expertise or availability or that involve unlawful material.
Services do not include certified, sworn, legal, or other officially authenticated translations unless explicitly agreed upon in writing.
2. Intellectual Property & Ownership
Clients retain all rights they hold in the original materials provided to FRCA Experts.
Unless otherwise agreed upon in writing, FRCA Experts retains all intellectual property rights and copyright in translations and other original content created as part of its services.
Upon full payment of the applicable fees, the client is granted a non-exclusive, non-transferable right to use the final deliverables for the purposes for which they were commissioned.
No ownership or copyright is transferred to the client unless expressly agreed upon in writing.
Client materials and deliverables will not be published, distributed, or used by FRCA Experts for unrelated purposes without authorization, except where required by law.
3. Pricing & Payment
Pricing may be based on word count, hourly work, project scope, complexity, urgency, service type, or other factors agreed upon with the client.
Applicable rates, deadlines, and payment terms are established before or during project acceptance through a quote, purchase order, service agreement, email correspondence, or other written agreement.
Invoices must be paid within the payment period specified on the invoice or in the applicable client agreement.
Late or outstanding payments may result in suspension of ongoing or future services.
Pricing for future projects may be adjusted at any time. Any such change does not alter pricing already agreed upon for an accepted project unless the project's scope or requirements change.
4. Confidentiality & Data Protection
Client documents, project materials, and related communications are treated as confidential and are used only as reasonably necessary to provide the requested services, administer the business relationship, or comply with legal obligations.
Reasonable measures appropriate to the nature of the information are used to protect confidential and personal information.
Clients should communicate any project-specific confidentiality, security, data-handling, or compliance requirements before work begins.
Personal information is handled in accordance with the FRCA Experts Privacy Policy.
5. Quality & Limitation of Liability
FRCA Experts performs its services with reasonable professional care and strives to provide accurate, contextually appropriate work consistent with the specifications provided by the client.
Language services necessarily involve linguistic and contextual judgment. Absolute accuracy or suitability for every possible use cannot be guaranteed.
Clients are responsible for communicating the intended purpose, audience, terminology requirements, reference materials, technical constraints, and other information reasonably necessary to complete the work.
Clients should review final deliverables before using them in legally binding, safety-critical, medical, financial, regulatory, or other high-risk applications unless specific review or validation requirements have been agreed upon in writing.
To the extent permitted by applicable law, FRCA Experts is not liable for indirect, incidental, special, or consequential damages arising from the use of its services.
Unless otherwise agreed in writing or required by applicable law, liability arising from a specific project will not exceed the amount paid for that project.
6. Third-Party Services
This website or our business operations may use or link to third-party services, platforms, or websites.
FRCA Experts is not responsible for the content, availability, security, or practices of independently operated third-party websites or services.
The use of third-party services may also be subject to their respective terms and privacy policies.
7. Revisions & Corrections
If a client identifies a potential error or issue in a deliverable, the client should notify FRCA Experts within a reasonable period following delivery.
Corrections to errors attributable to the services provided will be addressed as appropriate within the scope of the original project.
Changes resulting from revised source content, new instructions, preference changes, additional requirements, or work outside the original scope may be treated as additional work and may incur additional fees.
Any revision terms established in a project-specific agreement take precedence over this section.
8. Cancellation & Termination
Either party may discontinue a project subject to any applicable project-specific agreement.
If a client cancels a project after work has begun, the client remains responsible for fees associated with work already completed and any other costs reasonably incurred for the project before cancellation.
FRCA Experts may suspend or terminate services in cases of non-payment, unlawful activity, material breach of agreed terms, or circumstances that make continued performance unreasonable or impracticable.
Any refund or adjustment, where applicable, will be determined according to the work completed, amounts already paid, and the applicable project agreement.
9. Relationship With Client Agreements
These Terms and Conditions provide general terms governing FRCA Experts services.
Individual projects may also be governed by purchase orders, service agreements, statements of work, confidentiality agreements, vendor agreements, email agreements, or other written terms accepted by FRCA Experts and the client.
If a project-specific written agreement conflicts with these Terms and Conditions, the project-specific agreement will govern to the extent of that conflict.
10. Changes to These Terms
FRCA Experts may update these Terms and Conditions from time to time. Updated terms will be posted on this website with a revised effective date.
Changes do not retroactively alter the terms of a project already accepted unless otherwise agreed between FRCA Experts and the client.
Continued use of our services after modifications constitutes acceptance of the updated terms.
11. Governing Law & Disputes
These Terms and Conditions are governed by the laws applicable in the Province of Québec and the federal laws of Canada applicable therein.
The parties are encouraged to attempt to resolve any dispute arising from the services through direct communication before pursuing formal proceedings.
Subject to applicable law and any project-specific agreement, disputes relating to these Terms and Conditions or services provided by FRCA Experts will be subject to the jurisdiction of the courts of Québec.
